Steps for Name Change Process for Society

Society is a non for profit organization consisting of a group of people engaged in promoting the welfare and charitable activities like religion, culture, art, education, gender sensitivity, music, sports, etc. In India Societies Registration Act, 1860 regulates the societies.

At the time of registration, the name of the society is being decided according to the consent of all the board members. Moderately, with time if the name of the society stops reflecting the main objects of the society, then the need for a change of name of the society arises. The name of the society should be according to the main objects and according to the rules specified under the act.

 Following is a stepwise description

Board Meeting: Call a general body meeting of the board members to discuss the resolution of change of the name. The name should not indicate to any caste or religion and should not be contrary to the objects of the society. The registrar has the power to refuse to change the name of society if the new name depicts that the society is in any way connected with the Government of India, or relationship with any department/organization/body formed by the Government or any other similar authority. The new names should not be identical to the name of some other society in the jurisdiction of the concerned Registrar of Society.

General meeting: Conduct one more General Body meeting of the Board of Society to pass a resolution for approval for the previous resolution of change the name of Society as selected by the members of the society. The resolution of change of name should be passed by the majority.

Process: The change of name will not affect any obligations or rights of the society/its members/past members/deceased members and any legal proceedings if pending before any person, authority or court may be continued by or against the society under its changed name. The change in the name of a Society should be made by amending its bye-laws. This has to be notified in the official gazette also.

Documentation: A notice is to be issued about the change in name wherein the new name is declared. This resolution is too signed by the secretary along with all the members of the society. This is then submitted to the registrar of society. Following documents are to be submitted to the registrar in case of alteration of name:

-KYC of all the members and 2 witnesses

-Copy of resolution passed.

-Covering letter.

-List of the members

-An amended copy of bye-laws of the society for the approval of the registrar.

Registrar after scrutinizing the documents will approve the name of the society. Once approval is received send the original society registration certificate to the registrar for the amendment in that certificate also. After approval, the registrar will enter the new name of the society in the register of societies. The name change of society is effective from the date of the registration of new name. The process can be some differences in different states and different registrars. So the process and required objects will be changed accordingly.

Procedure for change of address of societies

Step1: Call a general body meeting of the board members to discuss the resolution of change of the registered office of the society. Following are the documents to be submitted while changing the address:

-KYC of all the members and 2 witnesses

-Copy of resolution passed

-Covering letter

-List of the members

-Amended copy of bye laws of the society for the approval of registrar

-Latest electricity bill of the new registered office, rent agreement (if property is rented) and NOC of the owner of the premises.

 Step2: On receipt of the documents from the society regarding the alteration of the address after checking of all the documents the registrar shall register the address communicated by the society in a register of the societies.

Step3: Any change shall not be considered as registered unless,

(i) the bye laws are not amended and the registrar don’t register it and;

(ii) the change is registered by the registrar.

Step4: The registered office address of a society or any changes in the same shall be displayed on the notice board of the society immediately after the approval from the registrar. After the approval all address is to be amended in all the documents of the society also.

Information related with the any change in the address of the registered office shall be given by the controlling body of the society within twenty one days from the change of the address to the registrar who shall record the same in the register of societies.

Therefore, if the governing body of a society does not comply with these requirements every member of the governing body shall unless the Registrar for reasons to be recorded in writing the acceptance of delay is liable to a fine not exceeding five rupees for every day during which the non-compliance continues.
